    Atmel Corporation's Bend Your Mind XSense Creative Design Contest Rules

    Term:
    Atmel Corporation's Bend Your Mind XSense Creative Design Contest (the "Contest") begins November 20, 2013, and ends June 16, 2014, at 11:59 pm Pacific Standard Time.  By submitting an entry, each entrant agrees to the rules of the Contest and represents that he or she is 18 years old or older.

    Who may enter:
    This Contest is open to any person who is:

    1. 18 years old or older;
    2. Not (a) an employee or contractor of Atmel Corporation ("Atmel"), (b) a member of the immediate family of such an employee or contractor, or a person residing with such an employee or contractor), or (c) an employee or internally contracted vendor of any government or government-affiliated company or organization; and
    3. Not a resident of Italy, Cuba, Iran, Syria, North Korea, Myanmar (formerly Burma), Sudan, the province of Quebec in Canada, or anywhere this Contest is prohibited or limited under local law.

    Atmel has sole discretion to determine winners' eligibility.  NO PURCHASE IS NECESSARY TO WIN.

    Contest Entries:
    Entrants must design a device of any sort that utilizes Atmel's XSense product and is capable of commercial exploitation (the "Device").  Each entry must include answers to the following questions:

    • What is the name of your design?
    • What is your idea?
    • What is your inspiration?
    • How does it work?

    Each entry must also include an image of the entrant's design (created using CAD software or other computer-generated art program or hand-drawn).  Additionally, each entry must:

    1. Be the original design of the entrant and not have been entered in any other contest or otherwise be distributed commercially;
    2. If incorporating the recognizable image of a specific person, be accompanied by an executed model release, valid in the jurisdiction of residence of the person whose image is incorporated, from that person (or from that person's parent or guardian if that person is less than eighteen (18) years old); and
    3. Not infringe any other person's intellectual property rights, including but not limited to patents.

    How to enter:
    Entrants may submit entries at [http://woobox.com/akt8tw] (the "Contest Website").  Entries must include the following in the body of or as an attachment to the entry:

    1. Entrant name;
    2. Email address;
    3. Job function/title;
    4. The name given to the Device;
    5. The image of the Device; and
    6. A text description of the Device's functionality and use (for display on the Internet).

    No entries will be accepted through the mail or otherwise delivered in any form other than electronic file submitted to the Contest Website.  There is a limit of one entry per Facebook user per day.  Contest entries become Atmel's property upon their receipt and will not be returned to the entrants.  There is no fee to enter the Contest. 

    Conduct of the Contest:
    The Contest will be conducted as follows:

    1. When submitted, each entry will be posted for public review and voting at the Contest Website.
    2. The public will vote on each entry using the voting mechanisms found at the Contest Website.
    3. The Contest judges will review the ten entries receiving the greatest number of favorable votes from the public at the Contest Website.

    Judging Criteria:
    Finalists will be chosen by Atmel, and will include the ten (10) entrants receiving the most public votes and additional entrants chosen by Atmel employees using the following criteria:

    1. Quality of the idea (including originality and creativity and whether the Device design is substantially different from current market offerings) (40%);
    2. Quality of the design entry (including thoroughness of product design submitted; the degree to which the product's visual appeal and user experience are demonstrated; and the inclusion of details, if appropriate) (20%); and
    3. Number of public votes received (40%).

    The judges will be designated Atmel employees, whose decisions will be final.  Atmel will announce the Grand Prize Winner on within two weeks of the end of the contest.  Atmel also will notify the Grand Prize Winner by email on the same date.

    Prizes:
    There will be one Grand Prize Winner and one Runner-Up.  The Grand Prize Winner will receive $1500 in cash and the Runner-Up will receive $500 in cash.

    License to Use Entries:
    Entrants will continue to own all intellectual property rights in the Devices and in the artwork entrants submit.   However, by entering the Contest, entrants grant Atmel and its parent, subsidiary, and affiliate corporations a royalty-free, worldwide, perpetual, non-exclusive license to display, distribute, reproduce and create derivative works of the entries, in whole or in part, in any media now existing or subsequently developed, for any purpose whatsoever.  Beyond the prize provided to the Grand Prize Winner and the Runner-Up, Atmel will not pay any additional consideration for the license described in this provision.

    General:
    The Contest is void where prohibited or restricted by law, including applicable export controls laws.  To the greatest extent permitted by applicable law, Atmel reserves the rights to (1) cancel the Contest or modify these rules at its discretion and without prior notice (including, without limitation, the right to extend the Contest's end date), (2) substitute another prize of equivalent or greater monetary value for any prize; or (3) disqualify any entry for any reason, without notice to the entrant.  

    The Grand Prize Winner and Runner-Up are responsible for paying any taxes owed upon receipt of the prizes.  Atmel will issue a valuation document for taxing authorities to the Grand Prize winner and the Runner-Up.

    The Grand Prize Winner and Runner-Up must sign an affidavit of eligibility and a license as provided above.  As a condition of awarding a prize, Atmel may require the Grand Prize Winner and Runner-Up to agree to the use of their names, voices, and likenesses for the purposes of advertising, trade, or promotion without further compensation, unless prohibited by law. The Grand Prize Winner's or Runner-Up's failure to execute the required documentation within ten (10) days after receipt will result in disqualification and Atmel may select a substitute prize recipient from the remaining eligible entries.  Atmel is not responsible for and will not be liable for late, lost, misdirected, or unsuccessful efforts to notify winners. 

    BY ENTERING THE CONTEST, ENTRANTS ACKNOWLEDGE THAT THE PRIZE IS AWARDED ON THE CONDITION THAT ATMEL AND ITS PARENT, SUBSIDIARY, AND AFFILIATE CORPORATIONS AND ITS AGENTS, REPRESENTATIVES, AND EMPLOYEES WILL HAVE NO LIABILITY WHATSOEVER FOR THE ENTRANTS' SUBMISSION OF CONTEST ENTRIES, THE CONDUCT OF THE CONTEST, AND THE AWARD OR USE OF THE PRIZE.  TO THE EXTENT PERMITTED BY LAW, EACH OF THE GRAND PRIZE WINNER AND RUNNER-UP RELEASES ATMEL AND ITS PARENT, SUBSIDIARY, AND AFFILIATE CORPORATIONS AND ITS AGENTS, REPRESENTATIVES, AND EMPLOYEES FROM ALL CLAIMS ARISING BY VIRTUE OF HIS OR HER ENTRY INTO THE SWEEPSTAKES AND USE OF THE PRIZE.

    To the extent permitted by law, these rules shall be interpreted, and this Contest shall be conducted, in accordance with California law, without giving effect to choice of law provisions. All disputes concerning these rules and this Contest shall be adjudicated in the federal or state courts having jurisdiction over Santa Clara County, California, USA. If any provision in these rules is held to be illegal or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that these rules shall otherwise remain in full force and effect and enforceable to the fullest extent permitted by applicable law.

    1. Quality of the idea (including originality and creativity and whether the Device design is substantially different from current market offerings) (20%);
    2. Quality of the Device design (including thoroughness of product design technical specification submitted; the degree to which the product's visual appeal and user experience are demonstrated; and the extent to which the XSense design guideline are adhered) (50%);  and
    3. Commercial potential (including feasibility of production, material and production costs, scalability, and potential demand) (30%).

    The judges will be designated Atmel employees, whose decisions will be final.  Atmel will announce the Grand Prize Winner on within two weeks of the end of the contest .  Atmel also will notify the Grand Prize Winner by email on the same date.

    Prizes:
